Public Offer Agreement
or ordering, purchase and sale, and delivery of goods
This Agreement is an official and public offer of the Seller to conclude a contract for the sale of Goods presented on the website https://kolibri-boats.eu/. This Agreement is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are the same for all buyers regardless of their status (individual, legal entity, or sole proprietor). By concluding this Agreement, the Buyer fully accepts the terms and conditions of placing an order, payment for goods, delivery, return of goods, and other provisions of this Agreement. The Agreement is considered concluded from the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives an electronic order confirmation from the Seller.
1. Definitions
1.1. Public Offer (Offer) – a public proposal of the Seller addressed to an indefinite number of persons to conclude a distance sales contract (Agreement) under the terms of this Offer.
1.2. Goods or Services – the subject of the transaction selected by the Buyer on the online store website.
1.3. Online Store – the Seller’s website https://kolibri-boats.eu/, created for concluding retail and wholesale purchase agreements via the Internet.
1.4. Buyer – a legally capable individual aged 18 or older, or a legal entity/sole proprietor placing an order.

2. Subject of the Agreement
2.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
2.2. The date of conclusion of the Agreement is the date the Buyer completes the order form on the website and receives confirmation from the Seller.
3. Order Placement
3.1. Orders are placed by the Buyer via the “Cart” form, email, or phone.
3.2. The Seller has the right to refuse an order if the provided data is incomplete or inaccurate.
3.3. The Buyer provides: full name, delivery address, contact phone number, and identification code (for sole proprietors or legal entities).
3.4. The name, quantity, SKU, and price of the Goods are displayed in the cart.
3.5. The Buyer is responsible for the accuracy of the provided information.
3.6. By accepting the Offer, the Buyer agrees to the collection and processing of personal data for the purpose of fulfilling this Agreement.
4. Price and Delivery
4.1. Prices on the website are indicated in UAH including VAT.
4.2. The Seller may change prices unilaterally, but paid orders remain at the purchase price.
4.3. Delivery cost is paid by the Buyer according to the carrier’s tariffs.
4.4. The Seller may provide an estimated delivery cost upon request.
4.5. Payment is considered completed upon receipt of funds in the Seller’s account.
4.6. Upon receiving the Goods, the Buyer must check quality, quantity, and completeness.
4.7. Ownership and risk of accidental loss pass to the Buyer upon receipt of the Goods.
5. Rights and Obligations of the Parties
The Seller is obliged to:
- Deliver the Goods in accordance with the order.
- Not disclose the Buyer’s personal information except as required by law.
The Seller has the right to:
- Change the terms of the Agreement and prices unilaterally.
The Buyer is obliged to:
- Review the terms of the Agreement.
- Provide accurate and complete information for order fulfillment.
6. Return of Goods
6.1. Goods of proper quality may be returned within 14 days, provided their original condition, packaging, documents, and seals are preserved.
6.2. Refunds are made via bank transfer within 30 days after the Seller receives the returned Goods.
6.3. Return shipping costs are paid by the Buyer, except in warranty cases.
6.4. Goods with individually defined characteristics are non-returnable.
7. Liability
- The Seller is not liable for damage caused by improper use of the Goods.
- The Seller is not responsible for violations due to inaccurate Buyer data.
- Force majeure circumstances (war, natural disasters, etc.) release the parties from liability.
8. Confidentiality and Personal Data Protection
- The Buyer agrees to the processing of personal data.
- The Seller undertakes not to disclose personal data except as required by law.
9. Other Terms
- This Agreement is governed by the legislation of Ukraine.
- Disputes are resolved through negotiations or in court.
- The Seller has the right to amend the Agreement unilaterally.
